Details of the Amalgamation Scheme
This disposal of shares is a direct result of an amalgamation scheme involving several entities:
- U.K. Paints (Overseas) Limited (Transferor Company-1)
- B.J.N. Holdings (I) Limited (Transferor Company-2)
- U K Paints (India) Private Limited (Transferee Company)
The scheme has received the necessary approvals from regulatory bodies, including the Jersey Financial Services Commission via a letter dated October 24, 2024, and the National Company Law Tribunal, Bench-II at Chandigarh, through an order dated May 23, 2025.
Impact on Shareholding
Prior to this disposal, Jenson & Nicholson (Asia) Limited held 14.48% of the voting rights in Berger Paints India Limited. Following the disposal, the shareholding has been reduced to zero as the shares were disposed of as part of the aforementioned amalgamation.
