FirstCry Restructuring Hygiene Vertical with Swara Baby Acquisition

FirstCry is set to restructure its hygiene vertical through the acquisition of additional shares in its subsidiary, Swara Baby Products Private Limited (Swara Baby). This move involves Swara Baby acquiring 100% stake in Solis Hygiene, another subsidiary, in exchange for Swara Baby equity shares. The restructuring aims to consolidate the hygiene business under a single entity, enhancing financial reporting and operational efficiency.

Acquisition of Additional Shares in Swara Baby

FirstCry will acquire additional shares in Swara Baby, a subsidiary, through a share swap. This is part of an intra-group restructuring effort. The Board of Directors has approved the acquisition of 5,626,738 additional equity shares in Swara Baby.

Solis Hygiene Acquisition by Swara Baby

Swara Baby will acquire 100% stake in Solis Hygiene from existing shareholders, including FirstCry. In return, Swara Baby will issue equity shares to these shareholders, increasing FirstCry’s shareholding in Swara Baby from 75.92% to 76.59%. Consequently, Solis Hygiene will become a step-down subsidiary of FirstCry, with indirect control at 76.59%.

Rationale for Restructuring

The primary goal is to consolidate the hygiene vertical under a single, streamlined structure. This consolidation is expected to improve financial reporting by showcasing the hygiene vertical’s performance more transparently at Swara Baby’s consolidated level.

Leadership Changes

Neha Surana has resigned from her position as Company Secretary and Compliance Officer, effective close of business hours on December 26, 2025. However, she will continue to be part of the Secretarial Team.

Mandar Joshi has been appointed as the new Company Secretary & Compliance Officer, effective December 27, 2025. He brings over 12 years of experience in corporate secretarial roles.
