Mahindra Educational Institutions (MEI) is no longer a wholly-owned subsidiary of Tech Mahindra. On December 26, 2025, MEI allotted 16,50,000 equity shares to Mahindra Knowledge Trust (MKT) for a total consideration of ₹1,65,00,000. Following this allotment, Tech Mahindra’s shareholding in MEI decreased from 100% to 0.6%, resulting in MEI ceasing to be a wholly-owned subsidiary.
MEI’s Equity Share Allotment
On December 26, 2025, the Board of Directors of Mahindra Educational Institutions (MEI) approved the allotment of 16,50,000 equity shares to Mahindra Knowledge Trust (MKT). The shares have a face value of ₹10 each and were issued for cash at par.
Change in Shareholding
The equity share allotment to MKT totaled ₹1,65,00,000. With this allotment, Tech Mahindra’s stake in MEI has been reduced from 100% to 0.6%. Consequently, MEI is no longer classified as a wholly-owned subsidiary, effective December 26, 2025.
