The Board of Directors of Narayana Hrudayalaya Limited (NHL) has given its approval to a scheme of arrangement concerning the demerger of NH Integrated Care Private Limited (NHIC). This decision, made on December 12, 2025, aims to consolidate Clinical Services under NHL.

Details of the Scheme

The scheme involves the demerger of the Clinical Services undertaking from NHIC into NHL. This includes the transfer of 10 clinics located in Bengaluru. The appointed date for the demerger is set for April 1, 2025. The plan is subject to necessary statutory and regulatory approvals, including that of the National Company Law Tribunal (NCLT).

Rationale Behind the Demerger

The demerger is designed to allow NHIC to focus exclusively on its preventive healthcare business, enhance shareholder value, and streamline operations by consolidating clinical services within NHL. The turnover of the Clinical Services undertaking for the year ended March 31, 2025, was ₹39.94 crore, representing 1.11% of the total standalone turnover of NHL.
