Adani Enterprises Dilution of Stake in Subsidiary Company

Adani Enterprises has announced a dilution of its stake in Astraan Defence Limited (ADL). The Company allotted 10,09,40,000 equity shares to MSM Group S. R. O, resulting in a decrease of Adani Enterprises’ shareholding in ADL. Following this allotment, the shareholding of Agneya Systems Limited in ADL has been diluted from 100% to 51%.

Stake Dilution in Astraan Defence Limited

Adani Enterprises has announced a change in its holding of Astraan Defence Limited (ADL). As of December 2, 2025, a board meeting resulted in the allotment of equity shares that affects the overall ownership structure of the subsidiary.

Details of the Allotment

10,09,40,000 equity shares of Astraan Defence Limited were allotted to MSM Group S. R. O (“JV Partner”). This represents 49% of ADL’s share capital. As a consequence, the shareholding of Agneya Systems Limited, the immediate holding company of ADL, has been diluted.

Revised Shareholding

Prior to this allotment, Agneya Systems Limited held 100% ownership of ADL. Following the allotment to MSM Group S. R. O, Agneya Systems Limited now holds 51% of ADL. This reflects a strategic shift in the ownership structure of Astraan Defence Limited.
