KPIT Technologies has announced a further development in its acquisition of Caresoft Global Technologies, Inc. The initial announcement regarding the acquisition was made on May 6, 2025.
Revised Acquisition Terms
Initially, the total consideration was up to US$191 Million. Following revisions announced on August 8, 2025, the total consideration amount was finalized at US$ 157 Million, which includes a variable pay component.
Deferred Payment Details
KPIT Technologies (UK) Limited has now made a USD 40 million payment towards the First Deferred Consideration Payment as per Definitive Agreements. This payment signifies a continued progression in finalizing the acquisition terms.
Previous Payments
Earlier, on August 15, 2025, after satisfaction of conditions precedent, KPIT Technologies (UK) Limited and KPIT Technologies Inc, USA paid the Initial Consideration of USD 51 million. On October 10, 2025, a payment of USD 6 million was made by KPIT Technologies (UK) Limited for acquiring 100% equity shares of OXI SRL Italy.
