Additionally, Ms. Sucheta Chaturvedi has been appointed as the new Company Secretary and Compliance Officer, effective December 1, 2025, succeeding Ms. Savitri Yadav, who resigned.

Financial Performance

HLV Limited announced its unaudited financial results for the second quarter (Q2) and half-year ended September 30, 2025. Key highlights include:

  • Total income for the six months ended September 30, 2025: ₹8,289 lakhs
  • Net loss before tax for the six months: ₹(1,339) lakhs
  • Net loss after tax for the six months: ₹(1,339) lakhs

Earnings per share (basic and diluted) for the six months stood at ₹(0.20).

Change in Company Secretary

The Board of Directors accepted the resignation of Ms. Savitri Yadav from the position of Company Secretary and Compliance Officer. Her resignation is effective from November 30, 2025.

Ms. Sucheta Chaturvedi has been appointed as the new Company Secretary and Compliance Officer, effective December 1, 2025. Ms. Chaturvedi is a qualified Company Secretary with over 7 years of experience in Company Secretarial functions.

Auditor’s Qualified Opinion

The auditor’s report included an emphasis of matter relating to the following notes in the financial results:

  • Note 5(a) pertaining to the unilateral termination of the Mumbai Hotel lease and related eviction proceedings, with a disputed amount of ₹543 lakhs for the quarter and ₹16,466 lakhs cumulatively.
  • Note 5(b) concerning demands by AAI for rent and minimum guarantee fees, amounting to ₹80,705 lakhs.
  • Note 6 regarding the preparation of financial results on a ‘going concern basis.’
