Honasa Consumer Board Approves Couch Commerce Acquisition & Financial Results

Honasa Consumer Limited’s board approved the acquisition of 25% share capital of Couch Commerce Private Limited (Fang Oral Care). Additionally, the board reviewed and approved the unaudited standalone and consolidated financial results for Q2 FY26. Revenue from operations stood at ₹5,380.63 million (Consolidated) and ₹5,266.94 million (Standalone). The Couch Commerce acquisition is expected to close in four weeks.

Couch Commerce Acquisition

The Board of Directors has approved the acquisition of 25% share capital of Couch Commerce Private Limited, known for its ‘Fang Oral Care’ brand, via Compulsory Convertible Preference Shares. The consideration for this acquisition is up to INR 10 Crores. The acquisition is anticipated to be finalized within the next four weeks, marking a strategic move to broaden Honasa’s market presence in the oral care sector. Fang Oral Care generated revenue of ₹3.14 Crores in FY25.

Financial Performance: Q2 FY26

The Board also reviewed and approved the Unaudited Standalone and Consolidated Financial Results for the quarter ended September 30, 2025 (Q2 FY26).

Consolidated Results:

  • Revenue from operations: ₹5,380.63 million
  • Total Income: ₹5,582.04 million
  • Profit Before Tax: ₹527.47 million
  • Profit After Tax: ₹392.27 million

Standalone Results:

  • Revenue from operations: ₹5,266.94 million
  • Total Income: ₹5,466.42 million
  • Profit Before Tax: ₹514.67 million
  • Profit After Tax: ₹383.47 million
