HDFC Life Board Approves Grant of Stock Options and Restricted Stock Units

HDFC Life’s Nomination & Remuneration Committee has approved the grant of 1,49,000 equity stock options under ESOS 2019, and 51,500 equity stock options under ESOS 2022, each convertible to one equity share. Additionally, 711,439 restricted stock units were granted under the Performance Restricted Stock Units Scheme 2025, each convertible to one equity share. Vesting schedules vary by employee category and scheme.

Equity Stock Options Granted

1,49,000 equity stock options with a face value of ₹10 each were granted at a price of ₹749.25, convertible into one equity share, as part of the Employee Stock Option Scheme 2019.

Vesting Schedule (ESOS 2019)

For employees on payroll for over 12 months:

  • 50% vest on the 1st anniversary of the grant date.
  • 50% vest on the 2nd anniversary of the grant date.

For employees on payroll for less than 12 months:

  • 50% vest on the 3rd anniversary of the grant date.
  • 50% vest on the 4th anniversary of the grant date.

Vested options must be exercised within 5 years from the vesting date.

Category A – Employees being on payroll of the Company for more than 12 months on date of grant:

  • 30% vest on the 1st anniversary of the grant date.
  • 30% vest on the 2nd anniversary of the grant date.
  • 40% vest on the 3rd anniversary of the grant date.

Category B – Employees being on payroll of the Company for less than 12 months on date of grant:

  • 50% vest on the 3rd anniversary of the grant date.
  • 50% vest on the 4th anniversary of the grant date.

Vested options must be exercised within 5 years from the vesting date.

13,38,261 equity stock options with a face value of ₹10 each were granted at a price of ₹749.25, convertible into one equity share, as part of the Employee Stock Option Scheme 2025.

Vesting Schedule (ESOS 2025)

  • 30% vest on the 2nd anniversary of the grant date.
  • 40% vest on the 3rd anniversary of the grant date.

Vested options must be exercised within 4 years from the vesting date.

Restricted Stock Units (Scheme 2025)

711,439 restricted stock units with a face value of ₹10 each were granted at a price of ₹10, convertible into one equity share, under the Performance Restricted Stock Units Scheme 2025.
