Auditor’s Report Highlights

The accompanying Independent Auditor’s Report on the Standalone Financial Results includes a Qualified Opinion. This qualification is primarily due to uncertainties in respect of Tata Steel Nederland B.V. (‘TSN’), a step-down subsidiary, concerning the non-recognition of further reduction in fair value of an investment. The auditors have drawn attention to Note 4 of the financial statements regarding this matter.

Additionally, the report highlights an Emphasis of Matter regarding the Scheme of Amalgamation between the Company and its subsidiary, Rujuvalika Investments Limited, which received NCLT approval. Comparative figures for prior periods have been restated to reflect this amalgamation.

Consolidated Financials Review

A separate Review Report on the Consolidated Unaudited Financial Results for the quarter and six months ended September 30, 2026, has also been issued. This report indicates that the management has not recognized probable material/substantive adjustments to the carrying values of PP&E and goodwill for Tata Steel Nederland B.V. due to identified impairment indicators. Note 4 to the statement elaborates on the current significant uncertainties leading to this non-recognition.

The financial results will be made available on the company’s website, www.tatasteel.com.
