Bosch Limited Board Approves Significant Shareholder Actions

At its meeting held on November 6, 2026, the Board of Directors of Bosch Limited has approved several transformative proposals aimed at enhancing shareholder value and equity structure. These significant decisions are subject to the necessary approvals from the company’s shareholders through a postal ballot process.

Key Approvals Include Share Sub-division and Bonus Issue

One of the primary approvals is the sub-division of equity shares. The board has sanctioned the splitting of every 1 (one) existing equity share with a face value of Rs. 10 each, fully paid-up, into 5 (five) equity shares, each with a face value of Rs. 2 each, fully paid-up. This move is expected to increase the liquidity of the company’s shares and make them more accessible to a wider range of investors.

Furthermore, Bosch Limited announced the approval for the issue of bonus equity shares. The proposed ratio is 3 (Three) bonus equity shares of Rs. 2 each for every 1 (one) existing equity share of Rs. 2 each, fully paid-up. This significant issuance of bonus shares is intended to reward existing shareholders and capitalize on the company’s strong reserves.

Authorized Share Capital Increase

In conjunction with these corporate actions, the Board also approved an amendment to the Memorandum of Association (MOA) to increase the company’s authorized share capital. The authorized capital will be increased from the existing Rs. 380,514,600 (comprising 38,051,460 shares of Rs. 10 each) to Rs. 1,500,000,000 (comprising 750,000,000 shares of Rs. 2 each). This substantial increase in authorized capital is a prerequisite for accommodating the proposed share sub-division and bonus issue.

Unaudited Financial Results Also Approved

In addition to the shareholder-centric proposals, the Board also considered and approved the Unaudited Financial Results (Standalone and Consolidated) for the quarter and half year ended September 30, 2026, along with the Limited Review Report. The auditors have provided an unmodified opinion on these results.

The commission payable to Non-Executive Directors and a revision in Material Related Party Transactions were also discussed and approved.

Timeline for Corporate Actions

The company anticipates completing these corporate actions within 2 months from the date of the Board Meeting, i.e., from November 06, 2026, subject to all necessary regulatory and shareholder approvals.
