Star Cement Approves Financial Results and Declares Dividend

Star Cement Limited announced today, November 6, 2026, that its Board of Directors has approved the company’s un-audited standalone and consolidated financial results for the second quarter and half year ended September 30, 2026. This approval follows a recommendation from the Audit Committee.

Interim Dividend Declared

In a significant move for shareholders, the Board of Directors declared an interim dividend of 100%, amounting to ₹1 per equity share of face value ₹1 each, for the Financial Year 2026-27. The dividend will be paid to eligible shareholders within 30 days of its declaration. The ‘Record Date’ for determining eligible shareholders for this dividend has been fixed for Friday, November 13, 2026.

Re-appointment and Internal Audit Appointment

Furthermore, the Board, based on the recommendation of the Nomination and Remuneration Committee, re-appointed Mr. Nirmalya Bhattacharyya as an Independent Director for a further period of two years, effective from February 1, 2027, up to January 31, 2029, subject to shareholder and other necessary approvals. Mr. Bhattacharyya is not related to any of the company’s directors and is not debarred from holding such office.

Additionally, the Board approved the appointment of an in-house team of employees, led by Mr. Gaurav Satnaliwala, as the Internal Auditors for the Financial Year 2026-27. This appointment is also subject to necessary approvals.

Fundraising Proposal Deferred

In a continuation of previous communications, the company has decided not to proceed with the proposed fundraising of up to ₹1,500 crore by way of a further issue of securities at this time. This decision was made considering the prevailing geopolitical situation, capital market conditions, and the company’s capital expenditure requirements. However, this deferral is not expected to adversely impact the implementation of ongoing projects, which will be funded through internal accruals and bank borrowings.

The Board meeting commenced at 12:30 p.m. and concluded at 02:00 p.m. The detailed financial results and related information have been uploaded to the company’s website at www.starcement.co.in.

Auditor’s Review Reports

The independent auditor, Singhi & Co., Chartered Accountants, provided their review reports on the unaudited standalone and consolidated financial results for the quarter and half year ended September 30, 2026. The reports confirm that based on their review, nothing has come to their attention that causes them to believe the statements are materially misstated or have not disclosed required information.

The consolidated results include financials of several subsidiaries, with the auditor noting that three subsidiaries’ interim financial information was not reviewed by their independent auditors but was based on management-certified accounts, and deemed immaterial to the Group.
