GSFC reduces GPLCL stake to 11%, ceases subsidiary status

Gujarat State Fertilizers & Chemicals Limited (GSFC) has approved a significant reduction in its shareholding in its subsidiary, Gujarat Port and Logistics Company Limited (GPLCL). The company’s stake will decrease from 60% to 11% through a combination of renouncing rights issue entitlements and transferring existing shares. This strategic move will result in GPLCL ceasing to be a subsidiary of GSFC, impacting the company’s consolidated ownership structure.

Strategic Shareholding Adjustment

Gujarat State Fertilizers & Chemicals Limited (GSFC) announced a significant strategic decision following its Board Meeting on November 2, 2026. The company will reduce its shareholding in its subsidiary, Gujarat Port and Logistics Company Limited (GPLCL), from the current 60% to a mere 11%. This adjustment is a consequence of the Government of Gujarat’s approval for a revised shareholding pattern in GPLCL and a subsequent rights issue offered by the subsidiary.

Share Renouncement and Transfer Details

GSFC has approved the renouncement of its rights entitlement of 18,00,000 equity shares in GPLCL. Specifically, 13,00,000 shares will be renounced in favour of Gujarat Industrial Development Corporation (GIDC), and 5,00,000 shares will go to Gujarat Rail Infrastructure Development Corporation Limited (G-RIDE). Concurrently, GSFC will transfer 6,50,000 equity shares of Rs. 10 each (out of its total holding of 12,00,000 shares) to Gujarat Maritime Board (GMB) at face value.

Impact on Subsidiary Status

These actions are aimed at achieving the target holding of 11%, equivalent to 5,50,000 equity shares of Rs. 10 each, in GPLCL. Upon completion of these transactions, GPLCL will no longer be considered a subsidiary of GSFC. The company has clarified that this cessation of subsidiary status, following the rights issue and share transfer, is not expected to affect GSFC’s revenue or overall business operations.

Key Figures and Considerations

The total consideration for the transfer of 6,50,000 equity shares to GMB is Rs. 65,00,000. GPLCL is stated to be yet to commence its operations, with its turnover for the financial year ended March 31, 2026, being NIL. GMB, the transferee, is a shareholder of GPLCL and is promoted by the Government of Gujarat, which is also the promoter of GSFC. The transaction is deemed to be at arm’s length and does not fall within related party transactions as per the disclosure.
