Castrol India reports change in ultimate controlling party

Castrol India Limited has disclosed a significant change in its ultimate controlling party. Following a sale and purchase agreement dated December 23, 2025, an entity named Motion JVCo Limited, part of Stonepeak Infrastructure Fund V, acquired 100% of Castrol Group Holdings Limited. This indirectly leads to Motion JVCo Limited acquiring sole control over Castrol India, with BP p.l.c. now holding a non-controlling interest in the Acquirer.

Ownership and Control Shift at Castrol India

Castrol India Limited has announced a fundamental change in its ultimate controlling party. This development stems from a sale and purchase agreement executed on December 23, 2025, between BP p.l.c. and Motion JVCo Limited, an entity associated with Stonepeak Infrastructure Fund V. The transaction, referred to as “Closing,” was completed on October 30, 2026.

Acquisition Details

Through this agreement, Motion JVCo Limited has acquired 100% of the equity share capital of Castrol Group Holdings Limited. This entity, in turn, holds 100% of the equity share capital of Castrol Limited. Castrol Limited is the promoter of Castrol India and holds 50,44,52,416 equity shares, representing 51.00% of Castrol India’s total equity share capital.

Indirect Control and Shareholding

Consequently, Motion JVCo Limited has indirectly acquired sole control over Castrol India. This includes the right to direct the exercise of voting rights attached to Castrol Limited’s significant shareholding in Castrol India (51.00% of total voting rights) and direct sole control over Castrol India itself. Simultaneously, the Acquirer has issued equity shares to BP Motion Holdings Limited, a subsidiary of BP p.l.c., constituting 35% of the Acquirer’s equity share capital, establishing a non-controlling interest for BP.
