Dishman Carbogen Amcis Limited announced a Family Settlement Agreement (FSA) entered into by members of the Vyas family, who are promoters of the company. While the company is not a party to the FSA, the agreement involves a significant inter-se transfer of shares among promoter group entities. Key terms include a share purchase agreement for approximately 59.32% of Adimans LLP’s shares in the company.

Promoter Family Agrees on Significant Shareholding Realignment

Dishman Carbogen Amcis Limited has disclosed a Family Settlement Agreement (FSA) entered into on October 29, 2026, among members of the Vyas family. These individuals constitute the promoter and promoter group of the Company. While Dishman Carbogen Amcis Limited is not a party to this agreement, it has been informed of the details as per regulatory requirements.

Key Terms of the Family Settlement Agreement

The FSA primarily aims to align the ownership structure with the management of the family’s business interests and foster amity amongst family members. A significant aspect of the agreement is a share purchase agreement (SPA) executed between Adimans Technologies LLP and Aamanya AG, where Arpit Janmejay Vyas is the sole shareholder. Under this SPA, Adimans LLP agreed to sell and transfer 9,30,02,442 equity shares, representing 59.32% of Adimans LLP’s total shareholding in Dishman Carbogen Amcis Limited, to Aamanya AG.

This transaction is classified as an inter-se transfer among the Promoter and Promoter Group and is in compliance with exemptions under the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. The aggregate promoter and promoter group shareholding in the Company is expected to remain unchanged post the completion of this transaction.

Impact on Management and Governance

The agreement details that, upon completion of the share transaction, Mrs. Deohooti Janmejay Vyas will resign from her role as a partner of Adimans LLP and potentially as a director of Dishman Carbogen Amcis Limited, unless she expressly indicates her intention to continue. Furthermore, members of Family B, currently classified as promoters, will seek reclassification as public shareholders.

There is no anticipated impact on the overall management or control of Dishman Carbogen Amcis Limited, as the realignment is intended to maintain continuity with the Promoter Group.

Shareholding Details

As per the latest shareholding pattern disclosed on September 30, 2026, the family members Arpit Janmejay Vyas, Deohooti Janmejay Vyas, Aditi Janmejay Vyas, and Mansi Janmejay Vyas held a total of 4,000 shares, representing 0.00% of the total shareholding, with Adimans LLP holding the substantial promoter stake.
