GAIL Board Greenlights Subsidiary IPO
In a significant strategic development, the Board of Directors of GAIL (India) Limited has given its in-principle approval for the listing of shares of its wholly-owned subsidiary, GAIL Gas Limited (GGL). This will be achieved through an Initial Public Offering (IPO) on the Indian stock exchanges.
Strategic Equity Dilution
The proposed IPO will involve GAIL diluting its equity stake in GGL by up to 25%. This move is anticipated to unlock value for GAIL’s shareholders and provide GAIL Gas with the necessary capital for its future growth and expansion plans. The final extent of dilution and other terms of the IPO will be determined after GGL submits its final proposal, based on recommendations from the Book Running Lead Managers (BRLMs) concerning valuation, price band, and other conditions.
Next Steps
Following the submission of GGL’s proposal and subsequent BRLM recommendations, GAIL’s Board will consider and approve the final details of the dilution and IPO terms. The company will then inform the stock exchanges accordingly. The Board meeting where this approval was granted commenced at 11:00 a.m. and concluded at 02:25 p.m. on October 30, 2026.
