Siemens: C&S Electric Becomes Wholly-Owned Subsidiary Post Share Reduction

Siemens Limited has announced that its subsidiary, C&S Electric Limited, has officially become a wholly-owned subsidiary. This follows the confirmation of a reduction in C&S Electric’s share capital, approved by the National Company Law Tribunal (NCLT) and registered by the Registrar of Companies (ROC) on 26th October 2026. The move solidifies Siemens’ ownership and control over the subsidiary.

C&S Electric Now Wholly Owned by Siemens

Siemens Limited has confirmed a significant change in the ownership structure of its subsidiary, C&S Electric Limited. Following a court-approved reduction in its share capital, C&S Electric has now transitioned to being a wholly-owned subsidiary of Siemens Limited. This development was officially recognized with the issuance of a Certificate of Registration of Order Confirming Reduction of Share Capital by the Registrar of Companies (ROC) on 26th October 2026.

Share Capital Reduction Details

The process involved the reduction of 343,948 equity shares of C&S Electric, representing 0.78% of its total issued and paid-up equity share capital. This reduction was approved by the Hon’ble National Company Law Tribunal (NCLT) on 24th September 2026. Prior to this reduction, Siemens Limited held 99.22% of C&S Electric’s paid-up equity share capital. With the completion of this reduction as per the Companies Act, 2013, Siemens’ ownership has reached 100%.

Rationale and Impact

The restructuring is aimed at providing an exit route for Specified Shareholders of C&S Electric, who were not part of Siemens Limited, and to facilitate easier administrative operations. The total consideration for the reduced shares was Rs. 1,016.10 per equity share. This change ensures full consolidation of C&S Electric’s financials and operations within Siemens Limited moving forward.
