Caliber Mining and Logistics Limited’s Board of Directors has approved corporate guarantees totaling up to ₹100 Crore for each of its wholly-owned subsidiaries, Caliber Natural Resources Private Limited (CNRPL) and Caliber Mines and Minerals Private Limited (CMMPL). An additional specific guarantee of ₹20 Crore was sanctioned for CNRPL’s vehicle/equipment loan. These guarantees, valid until March 31, 2027, will secure fund-based and non-fund-based facilities, impacting the company’s contingent liabilities.

Board Approves Subsidiary Guarantees

Caliber Mining and Logistics Limited announced today, October 27, 2026, that its Board of Directors has approved significant corporate guarantees for its wholly-owned subsidiaries. This approval, following the recommendation of the Audit Committee, is aimed at supporting the financial needs of CNRPL and CMMPL for the fiscal year 2026-27.

Guarantee Details and Limits

The approved corporate guarantees allow the Company to provide assurances to banks, financial institutions, and NBFCs for loans and credit facilities availed by its subsidiaries. The aggregate outstanding amount at any time is capped at ₹100 Crore for each subsidiary individually, and ₹200 Crore for both combined. These guarantees are valid up to March 31, 2027.

Specific Guarantee for CNRPL

A specific corporate guarantee of up to ₹20 Crore has been approved in favour of HDFC Bank Limited. This guarantee is intended to secure a vehicle or equipment loan for CNRPL. The loan will be utilized for sub-contract work at Dudhichua OCP of Northern Coalfields Limited, as part of a work order dated August 25, 2026. This specific guarantee is inclusive within the overall limit for CNRPL.

Subsidiary Undertakings

CNRPL has provided undertakings to ensure the proper utilization of the loan, furnish a utilization certificate from a Chartered Accountant, and promptly inform Caliber Mining of any repayment defaults. Furthermore, CNRPL has agreed not to alter loan terms without prior written consent, to create hypothecation over the acquired assets, and to indemnify the Company against any amounts paid under the guarantee.

Impact on Financial Position

The issuance of these corporate guarantees does not have an immediate impact on Caliber Mining’s financial position. However, in the event that CNRPL or CMMPL are unable to meet their repayment obligations, Caliber Mining may be required to honor the guarantees. This constitutes a contingent liability for the Company.

Meeting Concluded

The Board meeting commenced at 12:00 PM IST and concluded at 01:25 PM IST on October 27, 2026.
