Disclosure on ACC Limited Share Encumbrance
Deutsche Bank AG, Hong Kong Branch, acting as the security agent, has filed a disclosure statement in accordance with Regulation 29(2) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. This disclosure pertains to an encumbrance over equity shares of ACC Limited, the Target Company (TC).
New Financing and Security Arrangement
The encumbrance is in relation to a new facility agreement dated 21 October 2026, entered into by Endeavour Trade and Investment Ltd. The proceeds from this new facility are intended to refinance and repay one of the existing facilities availed under the Original Facilities Agreement, which was dated 20 October 2023. As of the disclosure date, 106,456,927 shares of ACC Limited, representing 56.69% of the total share capital, are encumbered for the benefit of certain lenders and other finance parties.
No Change in Encumbered Shares
The transactions contemplated under the new facility agreement do not result in any increase or decrease in the number of shares of ACC Limited subject to encumbrance. The existing encumbrance created over shares held by Endeavour, Holderind, and Ambuja in ACC Limited continues to secure liabilities under both the original and new facility agreements. In addition to the encumbered shares, the acquirer and other Deutsche Bank group entities hold 295 shares carrying voting rights, which are separate from the security arrangements.
