Deutsche Bank, as agent and security agent, has disclosed the extension of encumbrances over shares of Ambuja Cements Limited. These shares, held by Endeavour Trade and Investment Ltd, Holderind Investments Ltd, and Harmonia Trade and Investment Ltd, are now further securing new financial facilities availed by Endeavour. This move is a direct consequence of a new facility agreement dated 21 October 2026, which aims to refinance existing debt.
Disclosure of Extended Share Encumbrance
Deutsche Bank AG, Hong Kong Branch, acting as agent and security agent, has issued a disclosure concerning Ambuja Cements Limited. This announcement addresses the extension of an existing encumbrance over a significant number of Ambuja Cements shares. These shares are held by entities including Endeavour Trade and Investment Ltd, Holderind Investments Ltd, and Harmonia Trade and Investment Ltd.
New Facility and Security Arrangement
The extension of the encumbrance is linked to a new facility agreement entered into on 21 October 2026. Endeavour Trade and Investment Ltd has availed of this new facility, which is intended, in part, to refinance and repay one of the existing facilities under the ‘Original Facilities Agreement’. The shares of Ambuja Cements are used as security for these new financial arrangements. Deutsche Bank AG, Hong Kong Branch, continues to act as the security agent for these extended facilities.
Impact on Shareholding
The disclosure confirms that the transactions contemplated under the new facility agreement do not result in an increase or decrease in the number of Ambuja Cements shares subject to encumbrance. As of 23 October 2026, a total of 1,663,381,052 shares, representing 66.94% of the total voting capital, remain under encumbrance. Additionally, other Deutsche Bank group entities hold 885,189 shares separately, which are not connected to these security arrangements.
