Coforge Limited announced the voluntary liquidation and winding up of its step-down wholly owned subsidiary, Digital Mobile Innovations Italy S.R.L. This move is intended to streamline the group’s entity structure and enhance operational efficiency. The liquidation process, initiated prior to Coforge’s acquisition of the parent entity, has been completed and the Italian subsidiary has been formally dissolved.

Subsidiary Dissolution for Efficiency

Coforge Limited has officially taken note of the voluntary liquidation and winding up of its step-down wholly owned subsidiary, Digital Mobile Innovations Italy S.R.L., located in Italy. This strategic decision, made by the Board of Directors, aims to streamline the overall entity structure and bolster operational efficiency across the group.

Process and Rationale

The subsidiary, Digital Mobile Innovations Italy S.R.L., was a component of the Encora group. The liquidation process commenced in September 2025, predating Coforge’s acquisition of Encora. The process has since concluded, leading to the formal dissolution and closure of the Italian entity. The company emphasized that details such as turnover contribution, sale agreement dates, consideration, and buyer information, as typically required under SEBI Listing Regulations for material events, are not applicable in this instance due to the nature of the transaction.
