Strategic Amalgamation Approved

The Board of Directors at Heritage Foods Limited convened on October 23, 2026, and formally approved a Scheme of Amalgamation. This significant decision involves the merger of Heritage Novandie Foods Limited, a wholly-owned subsidiary, with its parent company, Heritage Foods Limited. The approval was granted under the relevant sections of the Companies Act, 2013, marking a key step in the company’s strategic consolidation efforts.

Rationale and Objectives

The proposed amalgamation is driven by several strategic objectives designed to bolster the combined entity’s performance. Key rationales include achieving greater integration of businesses and financial resources, leading to enhanced financial and operational efficiency. The merger also aims for efficient utilization and management of cash flows and other resources. Furthermore, it seeks to simplify the group structure by eliminating an additional legal entity, thereby reducing duplicative statutory and administrative compliances. This consolidation is expected to result in streamlined management, unified control, faster decision-making, and the achievement of synergies and economies of scale through the optimization of resources and production capabilities.

Transaction Details

In terms of financial considerations, no cash consideration will be involved in this amalgamation. Heritage Novandie Foods Limited is a wholly-owned subsidiary of Heritage Foods Limited, with its entire share capital held by the parent company. Upon the merger becoming effective, all shares held by Heritage Foods Limited in its subsidiary will be automatically cancelled without any further action. Consequently, there will be no change in the shareholding pattern of Heritage Foods Limited as a result of this scheme.

Regulatory Approvals Pending

The approved Scheme of Amalgamation is contingent upon securing the requisite approvals from the jurisdictional bench of the National Company Law Tribunal, as well as clearances from shareholders and any other applicable regulatory authorities. The draft Scheme will be formally submitted to the Stock Exchanges in due course.
