PC Jeweller: Allots 1.18 Cr Equity Shares Upon Warrant Conversion

PC Jeweller Limited announced the allotment of 1,18,52,500 equity shares following the conversion of fully convertible warrants. This issuance, valued at an issue price of ₹18 per share, increases the company’s paid-up equity share capital. The newly allotted shares rank pari-passu with existing shares, and the total equity share capital now stands at ₹977,13,94,855.

PC Jeweller Allots Shares Post Warrant Conversion

PC Jeweller Limited has announced the allotment of 1,18,52,500 equity shares, each with a face value of ₹1. This significant issuance follows the conversion of fully convertible warrants into equity shares. The decision was made by the company’s Board of Directors via a resolution passed by circulation on September 23, 2026.

Details of the Allotment

The warrants were originally issued on September 18, 2025, to Shri Balram Garg, Promoter & Managing Director. The conversion into equity shares occurred upon receipt of the balance payment, aggregating to ₹16,00,08,750. The issue price for each share resulting from the warrant conversion is ₹18, which includes a premium of ₹17 per share.

Impact on Paid-Up Share Capital

Consequent to this allotment, the paid-up equity share capital of PC Jeweller Limited has been revised. Before the allotment, the paid-up equity share capital was ₹975,95,42,355, comprising 975,95,42,355 equity shares of ₹1 each. After the allotment of 1,18,52,500 new shares, the total paid-up equity share capital has increased to ₹977,13,94,855, comprising 977,13,94,855 equity shares of ₹1 each. The newly allotted equity shares will rank pari-passu with the company’s existing equity shares.
