Aditya Birla Capital: Raises ₹1,920 Crore via NCDs

Aditya Birla Capital Limited has successfully completed a private placement of 19,200 Unsecured, Rated, Listed, Taxable, Redeemable Subordinated Non-Convertible Debentures (NCDs). The total issue size aggregated to ₹1,920 crore, with each debenture having a face value of ₹1,00,000. This capital raise was conducted on a private placement basis to identified investors, reinforcing the company’s financial strategy.

Capital Infusion Through Private Placement

Aditya Birla Capital Limited announced today the successful allotment of 19,200 Non-Convertible Debentures (NCDs). These debentures are classified as Unsecured, Rated, Listed, Taxable, and Redeemable Subordinated. The private placement successfully raised a total sum of ₹1,920 crore (Rupees One Hundred Ninety-Two Crore).

Debenture Details and Terms

Each debenture carries a face value of ₹1,00,000. The total issuance of 19,200 debentures represents an aggregate amount of ₹1,92,00,00,000/-. The NCDs were issued on a private placement basis to identified investors on September 23, 2026. The securities are listed on both the BSE Limited and the National Stock Exchange of India Limited.

Maturity and Coupon Rate

The tenor for the original issuance is 3,653 days. The debentures are scheduled to mature on April 30, 2036. The coupon rate offered on these NCDs is 8.0668% per annum. The repayment structure includes semi-annual coupon payments and the final redemption of the principal amount on the maturity date.

Key Financials of the Issue

The total number of securities allotted is 19,200. The issue size was up to ₹350 Crore with a green shoe option, but the company successfully placed ₹192 Crore. The debentures will be redeemed at a price of ₹1,00,000/- per Debenture on the Date of Maturity, as per the terms outlined.
