This transaction, finalized on September 21, 2026, involved the acquisition of shares by Mr. Rajesh Damani from existing promoters.

Transaction Details and Shareholding Shift

The disclosure highlights that Mr. Rajesh Damani, an immediate relative of the promoter, acquired shares by way of a gift through an off-market transaction. Specifically, Premratan Damani transferred 12,94,600 shares, which constituted 18.53% of the total share capital, to Rajesh Damani. Concurrently, Bimladevi Damani gifted 30,99,360 shares, representing 44.36% of the total share capital, to Rajesh Damani. Following these transfers, Rajesh Damani now holds a total of 43,93,960 shares, amounting to 62.89% of Jamshri Realty’s total share capital.

Regulatory Exemption

The company has clarified that this transaction, being a transfer of shares from promoters to an immediate relative as a gift, falls under the exemption provided by Regulation 10(1)(a)(i) of the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011. Therefore, no open offer is required as part of this inter-se transfer.
