Optiemus Infracom Limited has announced the execution of a binding term sheet with Nothing Electronics Private Limited to establish a Joint Venture (JV) company. This JV aims to undertake the commercialization and sale of CMF products, including mobile phones and their sub-assemblies. Optiemus will initially acquire 51.1% of the equity share capital of the proposed JV, marking a significant step in expanding its footprint in the consumer technology market.

Optiemus Infracom Limited has entered into a binding term sheet with Nothing Electronics Private Limited to establish a Joint Venture (JV) company. The primary objective of this JV is to facilitate the commercialization and sale of CMF products, encompassing mobile phones and their associated components. This strategic move was approved by the Board of Directors of Optiemus Infracom on September 22, 2026.
JV Structure and Shareholding
Under the terms of the agreement, Optiemus Infracom will initially acquire a controlling stake of 51.1% in the equity share capital of the proposed JV Company. This partnership is subject to the fulfillment of certain conditions precedent and the execution of definitive agreements. The JV is set to develop India’s first full-stack smartphone Research and Development (R&D) capability.
Strategic Importance and Future Outlook
This expanded partnership builds upon the existing manufacturing joint venture between Nothing and Optiemus, announced in September 2025. The collaboration aims to create a deeper, more comprehensive partnership that integrates manufacturing, ownership, and R&D under a single Indian entity. The initiative is designed to strengthen India’s position in the global smartphone value chain, moving beyond manufacturing towards technology development and exports.
The JV will focus on key areas including Industrial Design, Mechanical Engineering, Camera Engineering, Software Engineering, Connectivity Engineering, and Component Engineering, aiming to build CMF into India’s first smartphone brand with end-to-end R&D capabilities.
