Nazara Technologies Limited announced today, September 21, 2026, that it has entered into a significant loan agreement with its wholly-owned subsidiary, Smaaash Entertainment Private Limited (Smaaash). This agreement facilitates the provision of an unsecured loan amounting to an aggregate of up to ₹28.00 Crores (Rupees Twenty Eight Crores).

Purpose and Terms of the Loan

The loan facility is intended to support Smaaash’s general business requirements. These include bolstering its working capital, funding capital expenditure initiatives, and facilitating the acquisition of capital assets. The loan will be disbursed in one or more tranches, subject to compliance with all applicable laws and regulations. Nazara Technologies Limited confirmed that Smaaash is a wholly-owned subsidiary, and the transaction is considered an inter-company loan on an arm’s length basis.

Transaction Details

The loan agreement was executed on September 21, 2026. The aggregate loan amount is not to exceed ₹28.00 Crores. The nature of the loan is unsecured, and no security has been provided by Smaaash to the lender. This disclosure is made in accordance with Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.
