This move follows a special resolution passed by the company’s members at an Extraordinary General Meeting on September 10, 2026, and subsequent in-principle approvals from the BSE Limited and the National Stock Exchange of India Limited, dated September 11, 2026.

Key Details of the Allotment

The allotment involves 12,50,000 equity shares, each with a face value of ₹1. The issue price has been set at ₹600 per equity share, resulting in a total aggregate value of ₹75,00,00,000 (Rupees Seventy-Five Crore). This preferential issue is being conducted in accordance with the Companies Act, 2013, and relevant SEBI regulations. The allottees are detailed in the enclosed Annexure A, with two identified individuals: Nikhil Kumar and Mohib Nomanbhai Khericha.

Impact on Existing Shares

The newly allotted equity shares will carry the same rights and obligations as the existing equity shares of the Company, ranking pari-passu in all respects. The preferential issue is structured in compliance with Chapter V of the SEBI (Issue of Capital and Disclosure Requirements) Regulations, 2018, among other applicable laws.

Allottee Information

The allotment is to two individuals. Nikhil Kumar and Mohib Nomanbhai Khericha were each allotted 6,25,000 equity shares. Post-allotment, Nikhil Kumar’s holding increased to 2,65,55,640 shares representing 8.47% of the total equity, while Mohib Nomanbhai Khericha now holds 6,25,000 shares, accounting for 0.20%. The issue price of ₹600 per share includes a premium of ₹599 per share.
