Board Approves Significant Debenture Issuance
Anupam Rasayan India Limited announced that its Board of Directors, during a meeting held on September 19, 2026, has given its approval for the issuance of non-convertible debentures (NCDs). The company plans to issue up to 16,000 secured, rated, unlisted, and redeemable non-convertible debentures. Each debenture will have a nominal value of INR 1,00,000 (Indian Rupees One Lakh Only).
Total Issue Size and Placement Details
The aggregate amount for this issuance is set to not exceed INR 1,60,00,00,000 (Indian Rupees One Hundred Sixty Crore Only). These debentures will be issued in a single tranche, at par value, and in dematerialised form. The issuance will be conducted on a private placement basis. The terms and conditions for this private placement are outlined in the offer cum application letters to be issued.
Purpose of Funds and Security
The proceeds generated from this issuance are proposed to be utilized by the Company for several key objectives. These include the repayment of existing debt facilities, investment in group companies, and for general corporate purposes. As security for the debentures, the company will provide a first-ranking exclusive pledge over certain identified shares of the Company. Additional security includes a charge by way of hypothecation over amounts in an escrow account with Axis Bank Limited, a demand promissory note, and letters of continuity.
Debenture Terms and Conditions
The debentures will have a tenure of 13 months from the deemed date of allotment, which is September 21, 2026. The final redemption or maturity date is set for October 21, 2027. The applicable coupon rate for these debentures is 10.25% per annum. Partial redemption of the debentures is planned on or before October 21, 2026, with the balance redeemed on October 21, 2027. These NCDs are proposed to be unlisted.
