DhanSafal Finserve: Converts Warrants, Boosts Equity by ₹3.23 Crore

DhanSafal Finserve Limited has successfully converted 1,00,00,000 share warrants into an equal number of equity shares. This conversion, approved by the Board of Directors, has resulted in the company receiving ₹3,23,25,000, representing the remaining 75% of the issue price. The equity shares allotted are fully paid up and rank pari-passu with existing shares, increasing the company’s paid-up equity capital to ₹23,71,40,000.

Warrant Conversion and Capital Infusion

DhanSafal Finserve Limited announced the outcome of a circular resolution passed by its Board of Directors on September 18, 2026. The resolution approved the conversion of 1,00,00,000 share warrants into an equivalent number of equity shares. This conversion was executed via preferential allotment, strengthening the company’s capital structure.

Financial Impact of Conversion

The company has received an aggregate amount of ₹3,23,25,000 (Rupees Three Crore Twenty-Three Lakh Twenty-Five Thousand Only) as the remaining 75% of the issue price per warrant. These newly allotted equity shares, each with a face value of Re. 01/-, are fully paid up and will rank pari-passu with the existing equity shares of the company.

Paid-Up Capital Increase

Following this conversion, DhanSafal Finserve Limited’s paid-up equity capital has seen an increase. It has moved from ₹22,71,40,000, comprising 22,71,40,000 equity shares of Re. 01/- each, to ₹23,71,40,000, now consisting of 23,71,40,000 equity shares of Re. 01/- each.

Investor Details

As detailed in Annexure I, the conversion involved Luharuka Exports Private Limited. Prior to this conversion, the investor held 2,15,00,000 shares and 4,40,00,000 share warrants. After the allotment, their post-shareholding stands at 5,57,30,000 shares, representing 23.50% of the total post-conversion shareholding.
