During its 67th Annual General Meeting (AGM) held on September 17, 2026, shareholders of Oil India Limited (OIL) gave their approval for significant changes to the company’s foundational documents. The resolutions passed include amendments to the company’s Memorandum of Association (MoA) and Articles of Association (AoA).

Details of Amendments Approved

The approved amendments encompass several critical areas:

  • Memorandum of Association (MoA):
    • Alteration of the Objects Clause, categorizing it into two sections as per the Companies Act, 2013.
    • Renumbering of existing objects.
    • Enhancement of the authorised share capital from ₹2,000 Crore to ₹5,000 Crore.
    • Addition of enabling clauses to support the company’s Corporate Strategy and Net Zero initiatives.
  • Articles of Association (AoA):
    • Modification and alignment of articles in line with the Companies Act, 2013.
    • Addition of new articles and deletion of redundant ones.

These changes, previously recommended by the Board of Directors on June 29, 2026, were formally ratified by the shareholders, reflecting a strategic move to enhance the company’s operational flexibility and capital structure. The amended MoA and AoA are now available on the company’s official website.
