Religare Enterprises: Subsidiary Issues ₹100 Crore Subordinated Debt

Religare Enterprises Limited announced that its material subsidiary, Care Health Insurance Limited (CHIL), has successfully allotted 10,000 unsecured, subordinated debentures. These debentures, carrying a coupon rate of 10.00% per annum, aggregate to ₹100 crore. The issuance aims to bolster CHIL’s capital structure and will be listed on the NSE’s Debt Segment effective September 22, 2026.

Religare Enterprises Limited (REL) disclosed a significant capital infusion event through its material subsidiary, Care Health Insurance Limited (CHIL). CHIL has successfully completed the allotment of 10,000 debentures, representing a total issuance of ₹100 crore (Rupees One Hundred Crore).

Debenture Details and Purpose

These debentures are characterized as unsecured, subordinated, taxable, redeemable, non-cumulative, and non-convertible instruments. Structured as ‘Subordinated Debt’, they carry a fixed coupon rate of 10.00% per annum. The face value of each debenture is ₹1,00,000 (Rupees One Lakh), and the issuance was conducted for cash at par in dematerialized form. This move by CHIL is intended to strengthen its financial foundation and comply with regulatory requirements.

Listing and Maturity

The newly issued debentures are slated for listing on the Debt Segment of the National Stock Exchange of India Limited (NSE), with the listing effective from September 22, 2026. The tenure of these instruments is 10 years from the deemed date of allotment, with the maturity date set for September 18, 2036. The issuance also includes a provision for a call option, exercisable by the company at the end of 5 years and annually thereafter.
