HCC: Approves JV for New Infrastructure Company

Hindustan Construction Company Limited (HCC) has announced a strategic move to incorporate a new public limited company, “HC Concessions Limited,” jointly with Ceigall India Limited. This new entity will focus on a broad range of infrastructure development projects. HCC’s wholly-owned subsidiary, HICL, will hold a 51% stake in the new company, contributing ₹51,000/- towards its paid-up equity share capital.

HCC to Incorporate New Infrastructure Entity

Hindustan Construction Company Limited (HCC) has announced that its Board of Directors, through its wholly-owned subsidiary HCC Infrastructure Company Limited (“HICL”), has approved the proposal to incorporate a new public limited company. This new entity, to be named “HC Concessions Limited” or a similar name approved by the Registrar of Companies, Mumbai, will be established jointly with Ceigall India Limited.

Strategic Focus and Investment

The incorporated company will engage in a wide spectrum of infrastructure development activities, both in India and abroad. These activities include the construction, operation, and maintenance of various infrastructural facilities such as roads, highways, bridges, townships, and power generation projects. HICL will subscribe to 51% of the paid-up Equity Share Capital of the new company, making a capital contribution of ₹51,000/- (Rupees Fifty-One Thousand Only). This move signifies HCC’s commitment to expanding its footprint in the infrastructure sector.

Company Background and Business Scope

The new entity, “HC Concessions Limited,” is poised to undertake diverse infrastructure projects, including but not limited to “Build-Own-Operate” (BOO), “Build-Own-Transfer” (BOT), and other innovative models within the infrastructure development sector. The company aims to facilitate, improve, and develop infrastructure at a national and international level, working with various government bodies, corporate entities, and other authorities.

The business scope encompasses developing, surveying, designing, constructing, equipping, operating, managing, and financing a broad range of facilities. This includes roads, bridges, waterways, townships, amusement parks, fuel stations, medical centers, railway facilities, mass rapid transport systems, power stations (including hydel, thermal, wind, solar, and nuclear), telecommunications, ports, and more. The company also intends to engage in hydrocarbon transmission pipelines and urban infrastructure projects, along with parking facilities.
