Solar Industries: Acquires Omnia Holdings for $1.355 Billion

Solar Industries India Limited, through its subsidiary Solar SA Investments Proprietary Limited, has announced the proposed acquisition of South Africa’s Omnia Holdings Limited for approximately US$1.355 billion (₹12,951 Crores). This all-cash transaction aims to create a global explosives and blasting solutions platform, significantly expanding Solar Group’s operations, manufacturing, and distribution capabilities across Africa and international markets.

Solar Group Expands Global Reach with Omnia Holdings Acquisition

Solar SA Investments Proprietary Limited, a wholly-owned step-down subsidiary of Solar Industries India Limited, has entered into definitive agreements to acquire all outstanding shares of Omnia Holdings Limited. The transaction, valued at approximately US$1.355 billion (₹12,951 Crores), is an all-cash deal subject to customary closing conditions, including regulatory approvals and Omnia shareholder consent.

Strategic Rationale and Synergies

This acquisition is poised to create one of the largest and most integrated explosives and blasting solutions platforms globally. Omnia Holdings, a diversified international group with a 73-year heritage, brings significant expertise in mining and agriculture sectors. Its mining business, operating under the BME brand, offers strong capabilities in open-cast mining, bulk explosives, and electronic detonation systems. Omnia’s agriculture segment complements Solar Group’s portfolio with its proprietary Nutriology® model and Agribio biological solutions.

The combination is expected to drive commercial growth and operational efficiencies through technology innovation, broader customer coverage, enhanced supply chain resilience, and accelerated development of advanced blasting solutions. The deal will significantly expand Solar Group’s scale, market access, and competitive positioning, particularly in key mining jurisdictions across Africa.

Financial Impact and Future Outlook

For the financial year ended March 31, 2026, Omnia reported revenue of approximately US$1.41 billion (₹13,307 Crores) and maintained a net cash positive position. The expanded footprint and strengthened industrial base are anticipated to drive multi-fold growth in Solar Group’s revenue attributable to Africa’s mining market from FY2028 onwards.
