Vijaya Diagnostic Centre Limited, a leading integrated diagnostic chain in India, has announced its strategic entry into the North-East Indian market with the 100% acquisition of Arya Wellness Centre. The transaction, valued at approximately ₹46 crore, was executed through a Business Transfer Agreement (BTA).
Details of the Acquisition
Arya Wellness Centre, based in Guwahati, Assam, is a B2C-focused integrated diagnostic centre. The acquisition is expected to close within three months, subject to customary conditions. This move aligns with Vijaya Diagnostic Centre’s long-term growth strategy, emphasizing B2C businesses and geographic expansion. The company aims to leverage this acquisition to establish a strong foothold in Assam and the broader North-East region.
Financial and Operational Impact
For FY26, Arya Wellness Centre reported revenues of approximately ₹26 crore, with 56% from Pathology and 44% from Radiology. Its IND AS EBITDA stood at ₹5.6 crore, and IND AS Adjusted PAT was ₹2.5 crore. Mr. Narasimha Raju KA, Chief Financial Officer, stated the acquisition reflects a disciplined approach to capital allocation and is expected to be EPS accretive from the outset.
Synergies and Future Outlook
Mr. Siva Rama Raju Vegesna, Chief Operating Officer, highlighted that Arya Wellness Centre brings a strong B2C business, comprehensive radiology and pathology capabilities, and an experienced clinical team. Vijaya Diagnostic Centre plans to ensure a seamless transition, strengthen the team, and maintain patient care quality, leveraging its expertise to build upon its presence in Guwahati and support expansion across Assam and the North-East.
