MoA Amendments Approved by Shareholders
Ad-Manum Finance Limited has confirmed the approval of crucial amendments to its Memorandum of Association (MoA) by its shareholders. The resolution was passed at the company’s 40th Annual General Meeting on Wednesday, September 9, 2026. The meeting, conducted in a hybrid mode, concluded with a special resolution that reshapes the company’s future business scope.
Expanded Business Objectives
The approved alterations focus on two primary areas within the MoA:
- Main Objects (Clause III(A)): The existing sub-clause 3 has been replaced with a new sub-clause detailing the company’s services for the safe keeping, custody, and management of documents, articles, valuables, and assets. It also empowers the company to act in various fiduciary capacities, including as custodians, trustees, executors, and advisors.
- Ancillary Objects (Clause III(B)): A new sub-clause, 51.2, has been inserted after sub-clause 51.1. This new clause explicitly permits Ad-Manum Finance to promote, finance, invest in, and/or own projects for the generation of power from renewable energy sources like solar, wind, and hydro. This is to be undertaken within the limits of applicable laws and RBI regulations, without altering its principal business as an NBFC.
The updated MoA will be made available on the company’s official website, www.admanumfinance.com.
