Strategic Expansion into Assam

Vijaya Diagnostic Centre Limited has taken a significant step towards expanding its geographical footprint with the approved acquisition of the integrated diagnostic business undertaking of Arya Wellness Centre. The transaction, conducted on a slump sale basis, was greenlit by the company’s Board of Directors during their meeting held on Friday, September 11, 2026. This move directly aligns with the company’s strategic objective to grow its diagnostic business in Assam and reinforce its presence in the North-East of India.

Deal Rationale and Financials

The target business is described as a B2C-focused integrated diagnostic operation offering comprehensive pathology and radiology services, with an existing presence in Guwahati, Assam. The acquisition is not considered a related party transaction, and an arm’s length assessment is consequently not applicable. The total lump-sum purchase consideration for this business undertaking is ₹46.20 Crores (Rupees Forty-Six Crores and Twenty Lakhs Only), subject to customary closing working capital adjustments.

Key Transaction Details

The transaction is expected to be completed within an indicative timeframe of 90 days from the announcement date, or such extended period as may be mutually agreed upon, pending the fulfillment of customary conditions precedent outlined in the Business Transfer Agreement (BTA). Regulatory and statutory approvals from relevant governmental authorities are required for the consummation of this deal. The acquisition involves taking over 100% operational control of the business undertaking as a going concern, rather than acquiring equity shares.

Financial Performance of Target Business

The historical turnover of the target business for the last three financial years indicates a steady growth trajectory:

  • FY 2025-26: ₹ 26.95 Crores
  • FY 2024-25: ₹ 25.61 Crores
  • FY 2023-24: ₹ 22.99 Crores

This acquisition marks a crucial development for Vijaya Diagnostic Centre, enhancing its market reach and service capabilities in a key regional market.
