Disclosures regarding this action, as per SEBI Listing Regulations, indicate that no binding agreement for sale has been entered into. The subsidiary has reported nil revenue/income and a net worth of ₹(2.09) lakh as of March 31, 2026. The reasons cited for closure are that the Company has not commenced any business operations since its incorporation and no future activities are planned.

Transfer of India Infoline Foundation

The second key resolution involved the transfer of India Infoline Foundation to IIFL Finance Limited. India Infoline Foundation is also a wholly-owned subsidiary, registered under Section 8 of the Companies Act, 2013, and operates as a company limited by guarantee without a share capital. This foundation has not been involved in any commercial activities, and its financial statements are not consolidated with the Company’s.

The consideration for this proposed transfer has been determined at ₹10,000, representing the value attributed to the membership interest held by IIFL Capital Services Limited. The definitive documents for this transfer are yet to be executed, and completion is contingent upon regulatory formalities. This transaction is classified as a related party transaction and will be conducted on an arm’s length basis, complying with relevant laws.
