JSW Infrastructure Completes NCR Rail Acquisition

JSW Infrastructure Limited announced the successful completion of its acquisition of NCR Rail Infrastructure Limited. The transaction, effective September 10, 2026, was carried out through its step-down wholly owned subsidiary, Khurja Rail Terminal Private Limited. This acquisition makes NCR Rail a step-down wholly owned subsidiary of JSW Infrastructure.

Deal Value and Structure

The total cost of acquisition for NCR Rail Infrastructure Limited amounted to ₹467.47 crore. Additionally, JSW Infrastructure paid ₹41.94 crore towards the purchase of approximately 39.57 acres of land from Arshiya Limited, as stipulated by the Approved Resolution Plan. Consequently, AMD Business Support Services Private Limited, formerly a subsidiary of NCR Rail, also becomes a step-down wholly owned subsidiary of JSW Infrastructure.

NCR Rail Infrastructure Limited owns and operates a Private Freight Terminal in Khurja, Uttar Pradesh. The facility is strategically located near New Delhi and the upcoming Jewar Airport. It features six rail lines, two covered warehouses spanning approximately 0.2 million square feet, and a land bank of about 130 acres. The integration of NCR Rail is expected to bolster JSW Infrastructure’s presence and capabilities in the logistics sector.
