This significant decision was made in accordance with the provisions of the Companies Act, 2013, marking an important update to the company’s governance framework.

Key Changes and Alignment with Regulations

The new AOA has been restructured and aligned with the current provisions of the Companies Act, 2013, as well as Secretarial Standards issued by the Institute of Company Secretaries of India and other applicable laws. This move is intended to ensure the company’s operational framework remains current and compliant with evolving regulatory landscapes. The adoption process followed an earlier intimation dated July 24, 2026, and the approval at the AGM signifies a formal endorsement of these changes.

Details of the New Articles

The revised Articles of Association are based on ‘Form of Table F’ as prescribed under the Companies Act, 2013. Key changes include an update to references concerning Sections, Sub-Sections, and Clauses of the Act, substituting older provisions with the latest ones. The new AOA also clarifies that regulations from Table ‘F’ in the First Schedule to the Companies Act, 2013, will not apply directly, with specific regulations for the management and observance of members being adopted. This comprehensive replacement of the existing AOA is deemed expedient for the smooth and modern functioning of Restile Ceramics.
