Blossom Trade & Interchange LLP (the LLP), a promoter of Lloyds Metals and Energy Limited (LMEL), has disclosed the creation of a Non-Disposal Undertaking (NDU). This agreement was executed on August 25, 2026, with SBICAP Trustee Company Limited, acting as the Security Trustee. The NDU is in connection with a Rupee Term Loan Facility that has been availed by LMEL.
Details of Encumbered Shares
The NDU pertains to a total of 1,32,00,000 equity shares of LMEL, which constitutes 2.34% of the total equity share capital held by the LLP. These shares are now subject to contractual restrictions on their disposal for the duration specified in the financing documents. The LLP clarified that this is a Non-Disposal Undertaking and not a pledge, meaning the legal and beneficial ownership, along with voting rights and entitlement to dividends, remains with the LLP, subject to the terms of the NDU.
No Transfer of Shares
The company has confirmed that there has been no transfer of these shares to any third-party demat account. The shares continue to be held in the demat account of the LLP, with the restrictions arising solely from the NDU and the related financing arrangements. The disclosure was made to the stock exchanges, BSE Limited and the National Stock Exchange of India Limited, on September 9, 2026.
