Lloyds Metals & Minerals Trading LLP: Promoters Encumber Shares for ₹1.5 Cr Loan

Lloyds Metals & Minerals Trading LLP, as the promoter of Lloyds Metals and Energy Limited (LMEL), has entered into Non-Disposal Undertakings (NDUs) for a substantial portion of their shareholding. This action is linked to a Rupee Term Loan Facility availed by LMEL. The NDUs, covering over 1.57 crore equity shares, place contractual restrictions on the disposal of these shares until the loan is repaid. The legal and beneficial ownership remains with the promoters, including voting rights and dividend entitlement.

Promoter Encumbrance for Financing Revealed

Lloyds Metals & Minerals Trading LLP (the LLP), acting as the promoter for Lloyds Metals and Energy Limited (LMEL), has disclosed the creation of Non-Disposal Undertakings (NDUs) affecting a significant portion of its shareholding. This strategic move is part of the financing arrangements for a Rupee Term Loan Facility secured by LMEL. The NDUs were executed on August 25, 2026, with SBICAP Trustee Company Limited acting as the Security Trustee.

Shareholding Impacted

In total, 1,57,41,529 equity shares of LMEL, representing 2.80% of the total equity, have been placed under these NDUs by the LLP. This encumbrance means these shares are subject to contractual restrictions on disposal during the loan tenure. The disclosure was made on September 9, 2026, in accordance with SEBI regulations.

Ownership and Rights Retained

Despite the Non-Disposal Undertakings, the LLP clarifies that it retains full legal and beneficial ownership of the encumbered shares. The voting rights associated with these shares continue to be exercisable by the LLP, subject to the terms of the NDU and the financing documents. Furthermore, the LLP remains entitled to dividends and other economic benefits arising from these shares, in compliance with applicable laws and the loan agreements. No shares have been transferred to any third-party demat account; they remain within the LLP’s demat account, bound by the NDU restrictions.
