Proposed Rights Issue
Natco Pharma Limited announced its intention to undertake a Rights Issue of its equity shares. The proposed issue aims to raise capital up to an aggregate of ₹13,000 million (assuming full subscription). The offering is on a rights basis to the eligible equity shareholders of the Company. The issue price per Rights Equity Share is yet to be finalized, but will include a premium. Eligible Equity Shareholders will be entitled to subscribe to Rights Equity Shares in the ratio of [●] Rights Equity Shares for every [●] Equity Shares held as of the Record Date.
Objects of the Issue
The Net Proceeds from the Issue are proposed to be utilized for the following key objectives:
- ₹8,105 million towards pre-payment or repayment of certain outstanding borrowings.
- ₹1,100 million towards funding a portion of the expenditure for research and development initiatives, including employee costs for the R&D team.
- The remaining amount will be utilized for funding inorganic growth through unidentified acquisitions and other strategic initiatives, as well as general corporate purposes. The utilization for these purposes is subject to certain limits as per SEBI ICDR Regulations.
Capital Structure and Listing
The Company currently has an issued, subscribed, and paid-up share capital of 179,109,870 Equity Shares. Post the Rights Issue, the total number of Equity Shares outstanding is expected to be [●] Equity Shares. The existing Equity Shares of Natco Pharma Limited are listed on the BSE and NSE. The Company has received in-principle approvals from NSE and BSE for the listing of the Rights Equity Shares.
Issue Schedule and Mode of Payment
