API Holdings Limited has announced the successful amalgamation of Docon Technologies Private Limited with API Holdings, effective September 3, 2026. Following this, the earlier pledge on 7,94,69,696 equity shares of Thyrocare Technologies Limited, created by Docon, has been fully released. API Holdings is now the successor entity responsible for reporting obligations concerning these shares.
Amalgamation of Docon and API Holdings Finalized
API Holdings Limited has submitted an updated disclosure following the completion of the amalgamation scheme between Docon Technologies Private Limited (“Docon”) and API Holdings Limited (“API”). The National Company Law Tribunal (NCLT), Mumbai Bench, sanctioned the scheme, with it becoming effective on September 3, 2026. As a result, Docon Technologies Private Limited has ceased to exist, and API Holdings Limited is now the successor entity, assuming all of Docon’s assets, liabilities, rights, and obligations.
Release of Thyrocare Share Pledge
This amalgamation also brings clarity to the pledge status of Thyrocare Technologies Limited shares. Previously, Docon had pledged 7,94,69,696 equity shares of Thyrocare as security for Non-Convertible Debentures (NCDs) issued by API Holdings Limited. The disclosure confirms that this entire pledge was fully released on August 17, 2026, concurrent with the redemption and repayment of the NCDs. API Holdings Limited now holds 8,12,00,000 equity shares of Thyrocare, representing 51.02% of its total share capital, with no remaining encumbrances.
Updated Reporting by Successor Entity
In line with the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011, API Holdings Limited is submitting this updated disclosure as the successor entity to Docon. The filing provides details on the release of the pledge and the current shareholding and encumbrance status of API Holdings in Thyrocare Technologies Limited.
