Diamond Power Infrastructure Limited has addressed a non-compliance issue concerning the minimum public shareholding (MPS) requirement. Following a Qualified Institutions Placement (QIP), the company’s public shareholding increased to 25.97%, bringing it into compliance with the mandated 25% threshold. This action has resolved the non-compliance for the period from July 1, 2026, to July 28, 2026, and averted potential further penalties.

Resolution of Minimum Public Shareholding Non-Compliance

Diamond Power Infrastructure Limited has successfully resolved a non-compliance situation regarding the minimum public shareholding (MPS) requirement, as mandated under Regulation 38 of the SEBI Listing Regulations. This issue pertained to the period from July 1, 2026, to July 28, 2026.

Corrective Measures and QIP Impact

The company undertook corrective measures by completing a Qualified Institutions Placement (QIP). This placement, which opened on July 24, 2026, and closed on July 28, 2026, resulted in the allotment of 7,11,00,000 Equity Shares to eligible Qualified Institutional Buyers. These shares were subsequently listed and admitted for trading on both BSE Limited and the National Stock Exchange of India Limited effective from July 30, 2026.

Improved Shareholding Structure

The QIP significantly altered the company’s shareholding structure. The shareholding of the Promoter and Promoter Group decreased from 84.02% to 74.03%. Concurrently, the public shareholding saw a substantial increase from 15.98% to 25.97%. This adjustment brings the company into compliance with the minimum public shareholding requirement of 25% prescribed by SEBI.

Outcome and Compliance

As a result of these corrective actions, Diamond Power Infrastructure Limited now stands in compliance with the minimum public shareholding requirements as per the SEBI LODR Regulations. The company was initially liable to pay a penalty of ₹1,65,200 (Rupees One Lakh Sixty-Five Thousand Two Hundred only) from each of the stock exchanges due to the non-compliance identified for the specified period.
