Board Approves Significant Debt Issuance
PNB Housing Finance Limited’s Board of Directors has given its approval for the issuance of Non-Convertible Debentures (NCDs). The total amount approved for this issuance is up to a substantial INR 10,000 crore. This decision was made during the Board Meeting held on Monday, September 07, 2026.
Key Details of the NCD Issuance
The NCDs will be issued on a private placement basis. The company has the flexibility to issue them with or without a green shoe option. The issuance can occur in one or more tranches, as determined by the Board of Directors or any committee authorized by the Board. This issuance is intended to bolster the company’s capital structure and support its future financial needs.
Details of the Issue
The particulars of the NCD issuance are detailed as per Annexure A, which adheres to the provisions outlined under Regulation 30 of LODR and relevant SEBI Master Circulars. The issue size is set at a maximum of INR 10,000 crore. These NCDs are proposed to be listed on the Wholesale Debt Market (WDM) Segment of the National Stock Exchange of India Ltd. (“NSE”) and/or BSE Ltd. Further details regarding tenure, allotment, maturity, coupon/interest offered, payment schedules, security, and other specific rights will be provided at the time of allotment of respective NCDs.
Extension of CIO’s Relieving Date
In a separate note, PNB Housing Finance also informed that the relieving date for Mr. Anubhav Rajput, Chief Information Officer, has been extended. This extension is to ensure a smooth transition and the completion of his handover process. He is now scheduled to be relieved on or before September 30, 2026.
