Sammaan Capital: Board Approves ₹25,000 Crore Fundraising via Debt

Sammaan Capital Limited’s Board of Directors has approved a significant fundraising initiative, authorizing the issuance of secured and/or unsecured redeemable non-convertible debentures/bonds. The company plans to raise an aggregate amount of up to ₹25,000 Crores on a private placement basis. This move, subject to shareholder approval at the upcoming Annual General Meeting, aims to enhance the company’s financial resources over the next year.

Fundraising Approval for Growth

Sammaan Capital Limited announced on September 7, 2026, that its Board of Directors has greenlit a major fundraising plan. The company is authorized to raise funds through the issuance of debt instruments, specifically secured and/or unsecured redeemable non-convertible debentures or bonds (“NCDs / Bonds”). This will be conducted on a private placement basis.

Scale and Timeline of Fundraising

The aggregate amount approved for this issuance is substantial, standing at up to ₹25,000 Crores. This capital infusion is planned to be raised in one or more tranches. The authorization for this fundraising will commence from the date of approval by shareholders at the ensuing Annual General Meeting (AGM) and will remain valid for a period of one year thereafter.

Director Appointments and Retirements

In addition to the fundraising approval, the Board also considered and approved the re-appointment of Mrs. Shefali Shah as an Independent Director for a further term of three (3) years, effective from November 14, 2026, subject to shareholder approval. Conversely, Mr. Sachin Chaudhary, Executive Director and COO, will retire by rotation at the ensuing AGM and has decided not to seek re-appointment as a Director. He will, however, continue his employment with the company in his executive capacity as COO.

Annual General Meeting Details

The company has scheduled its Twenty First Annual General Meeting for Wednesday, September 30, 2026. The meeting will commence at 11:30 A.M. (IST) and will be conducted through Video Conferencing (VC) or other Audio-Visual Means (OAVM), in compliance with applicable regulatory circulars.
