HDFC Bank: Grants 8.77 Million Stock Options and RSUs

HDFC Bank has announced the grant of substantial stock-based compensation to its employees. The bank has granted 8,77,39,690 equity stock options and 1,88,01,717 restricted stock units (RSUs). These grants, under various Employees’ Stock Option Schemes and the Employees’ Stock Incentive Master Scheme 2022, are effective as of September 6, 2026, and carry specific vesting and exercise conditions.

HDFC Bank has officially announced the grant of a significant number of stock options and restricted stock units (RSUs) to its employees. The grants, effective from September 6, 2026, are designed to align employee interests with shareholder value and incentivize long-term performance.

Details of Stock Option Grants

Under the Employees’ Stock Option Scheme (ESOS) – Plan H-2024, a total of 6,16,000,150 equity stock options were granted. This includes 5,86,95,020 options under ESOS 063 and 2,90,430 options under ESOS 064. Each option has a face value of Re. 1 and a grant price of Rs. 712.10. These options are convertible into one equity share upon vesting and exercise. The vesting of these options is structured in four stages, occurring at 12, 24, 36, and 48 months from the grant date, with a window of 4 years for exercise after vesting.

Restricted Stock Unit (RSU) Allocations

In addition to stock options, HDFC Bank has also granted restricted stock units (RSUs) under its Employees’ Stock Incentive Master Scheme – 2022. A total of 1,88,01,717 RSUs have been granted. These include:

  • 1,53,73,400 RSUs under the scheme titled “RSU 018”.
  • 65,287 RSUs under the scheme titled “RSU 019”.
  • 12,80,130 RSUs under the scheme titled “RSU 020”.

Each RSU has a face value of Re. 1 and a grant price of Re. 1, convertible into one equity share. The vesting schedules for these RSUs vary, with “RSU 018” and “RSU 019” vesting in four and one stage respectively, and “RSU 020” vesting in three stages, all within specified periods from the grant date. The vested RSUs must be exercised within 1 year of vesting, failing which they will lapse.

The grants are made in compliance with the relevant SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021.
