Nazara: Preferential Issue Size Revised Down to ₹730.78 Crore

Nazara Technologies has announced a revision to its ongoing preferential issue, reducing the total amount to be raised to ₹730.78 crore. This adjustment stems from one proposed allottee, Mr. Hugo Rémy Gaston Blavin, being excluded due to an inability to furnish required documents. Consequently, the number of equity shares to be issued has also been adjusted. The company has provided updated shareholding patterns reflecting these changes.

Nazara Revises Preferential Issue Size

Nazara Technologies Limited has informed the stock exchanges about a revised size for its ongoing preferential issue. The total amount to be raised has been reduced from the previously disclosed ₹733.50 crore to ₹730.78 crore. This revision is due to the exclusion of one of the proposed allottees, Mr. Hugo Rémy Gaston Blavin, who was unable to provide the necessary documentation within the stipulated timeline.

Impact on Shareholding

As a result of Mr. Blavin’s exclusion, the total number of equity shares to be issued under the preferential issue has been revised from 2,39,70,676 shares to 2,38,81,711 equity shares. The exclusion also means that 88,965 equity shares, previously intended for Mr. Blavin, will no longer be allotted. Nazara has submitted updated shareholding patterns, including the fully diluted post-issue pattern, to reflect this adjustment.

Revised Share Capital Details

The original preferential issue was set to raise approximately ₹7,33,50,26,856 by issuing up to 2,39,70,676 equity shares. The revised issue now aims to raise ₹7,30,78,03,566 by issuing up to 2,38,81,711 equity shares. This change impacts the fully diluted post-issue paid-up equity share capital of the company, which is now expected to comprise 41,34,54,675 equity shares.

Allottee Details Updated

The company has provided a breakdown of the pre-issue and post-issue shareholding of the remaining proposed allottees. Notable allottees include Mr. Raymond Albaladejo Stauffer, who will hold 1,90,67,969 shares representing 4.61% post-issue. Other allottees such as Mr. Marc Sylvester Schutze, Mr. Maxime Loppin, Mr. Alexandre Paul Jean Noirot Cosson, and Mr. Alexander Osou will hold varying percentages after the allotment.
