Entities Involved in the Merger

The approved scheme facilitates the merger of the following entities into Astrea Real Estate Developers Private Limited (the ‘Transferee Company’):

  • Coimbatore Sameera Investments Private Limited
  • Dhanalakshmi Engineering Private Limited
  • Pulankinar Investment and Finance Private Limited
  • Shanthi Chandran Enterprisers Private Limited
  • Shanthi Chandran Investments Coimbatore Private Limited
  • Sheela Traders Private Limited

These entities are collectively referred to as the ‘Transferor Companies’, which are step-down subsidiaries of The Phoenix Mills Limited. Astrea Real Estate Developers Private Limited is also a subsidiary of the company.

Regulatory Compliance

The approval was granted under the provisions of Sections 230 to 232 and other applicable sections of the Companies Act, 2013. This consolidation is a strategic move to optimize the group’s corporate structure.
